A critical review of current topics related to the internal and external governance structures of firms and organisations and expectations arising from organisational governance responsibilities. Topics will include: the different theories underpinning corporate governance; the role and composition of the board of directors including directors' attributes and diversity; ESG and CSR; firm ownership; executive compensation; and issues around firm disclosure and reporting.
